Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and the Operator of Nightwatch / Alpha 夜航社 (the "Operator"). They govern your access to and use of the Nightwatch / Alpha 夜航社 website, dashboard, Discord-based access, and related services available at https://yehangshe.com (the "Service").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Description of the Service

Nightwatch is an options market data visualization and analytics service. It provides Gamma Exposure (GEX) charts, Dealer GEX visualizations, implied volatility analytics, options market structure indicators, historical replay, and related educational reference content.

The Service is provided for informational, educational, and reference purposes only. The Operator is not a broker-dealer, investment adviser, exchange, bank, or licensed financial services firm.

2. Eligibility

You must be at least eighteen (18) years old and legally able to enter into a binding agreement to use the Service. You may not use the Service if applicable law prohibits you from doing so, including because of sanctions or export-control restrictions.

3. Accounts and Discord Authentication

The Service uses Discord authentication. When you sign in, you authorize the Operator to receive basic Discord account information needed to identify your account. When you subscribe, you may also authorize the Operator to add your Discord account to the Operator's Discord server and assign or revoke role-based access according to your subscription status.

You are responsible for your Discord account credentials and for all activity under your account. You must notify the Operator promptly at [email protected] if you suspect unauthorized access.

4. Subscription Plans

The Service may offer free and paid plans. Current plan details, features, prices, and billing cycles are shown on the pricing page and during checkout. If pricing information conflicts, the price and billing terms shown at checkout control.

• Basic - free community access and selected public content.
• Pro - paid access to the core Nightwatch dashboard and paid features listed on the pricing page.
• Premium - may be announced before availability. When Premium becomes available, its price, features, and billing cycle will be shown before purchase.

The Operator may add, remove, or modify plans or features from time to time. For material changes affecting active paid subscribers, the Operator will provide reasonable notice where practical.

5. Auto-Renewal and Cancellation

Paid subscriptions renew automatically at the end of each billing cycle until cancelled. By subscribing, you authorize the Operator and its payment provider to charge your selected payment method for recurring subscription fees, applicable taxes, and related charges.

You may cancel auto-renewal through the customer billing portal provided at checkout or by contacting [email protected]. Cancellation takes effect at the end of the current billing period, and you will retain paid access until that date unless these Terms are violated.

6. Fees, Taxes, and Refunds

Fees are shown in U.S. Dollars unless another currency is displayed at checkout. Taxes may be added where required by law. Payments are processed by third-party payment providers or merchants of record, and their terms and policies may also apply to the transaction.

Except where required by law, all fees are non-refundable, including fees for partial billing periods, unused service time, or cancelled subscriptions. If you believe a charge is incorrect, contact [email protected] within thirty (30) days so the issue can be reviewed.

7. Intellectual Property

The Service and its content, including software, dashboards, charts, data visualizations, text, graphics, logos, and the "Nightwatch" and "Alpha 夜航社" brands, are owned by the Operator or its licensors and are protected by intellectual property laws.

Subject to these Terms and payment of applicable fees, the Operator grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial purposes.

You may not copy, resell, redistribute, sublicense, scrape, mirror, reverse engineer, or commercially exploit the Service or its content, or use the Service to build a competing product.

8. Acceptable Use

You agree not to:

• violate any applicable law or third-party right;
• interfere with, overload, or disrupt the Service or its infrastructure;
• attempt to access accounts, systems, or data without authorization;
• use bots, crawlers, scripts, or automated tools in a way that exceeds normal individual use;
• share, resell, transfer, or commercially provide your account, subscription, or Discord access to another person;
• impersonate another person or misrepresent your affiliation;
• upload or transmit malicious code, spam, or harmful content.

Violation of this section may result in suspension or termination without refund.

9. Not Investment Advice

The Service does not provide investment advice, financial advice, trading recommendations, tax advice, legal advice, brokerage services, or any solicitation to buy or sell securities or financial instruments.

Options trading involves substantial risk and is not suitable for every investor. You may lose all or more than the amount invested. Past performance, historical data, back-tests, and analytical outputs do not guarantee future results. You are solely responsible for your trading decisions and should verify information independently before acting on it.

10. No Warranties

To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. The Operator does not warrant that the Service will be accurate, complete, uninterrupted, secure, error-free, or free of delay.

This section does not limit any rights that cannot be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, the Operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost trading opportunities, lost data, or loss of goodwill arising from or related to the Service.

To the maximum extent permitted by law, the Operator's total liability for all claims relating to the Service will not exceed the amount you paid for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Third-Party Services

The Service relies on third-party services for functions such as authentication, payment processing, hosting, security, analytics, and community access. The Operator is not responsible for third-party outages, acts, omissions, terms, or policies.

13. Suspension and Termination

The Operator may suspend or terminate your access if it reasonably believes you have violated these Terms, created security or legal risk, abused the Service, or failed to pay applicable fees. You may stop using the Service at any time and may cancel any active subscription as described above.

Sections concerning fees, intellectual property, acceptable use, disclaimers, limitation of liability, and any provisions that by nature should survive will survive termination.

14. Changes to These Terms

The Operator may update these Terms from time to time. The Effective Date above reflects the latest revision. Material changes will be communicated by email or by notice on the Service where practical. Continued use of the Service after updated Terms become effective means you accept the updated Terms.

15. Governing Law and Disputes

These Terms are governed by applicable law, subject to any mandatory consumer protection rights that cannot be waived. Nothing in these Terms limits any non-waivable right you may have under the law of your country or region of residence.
